Puig's CEO confirmed in late April that no decision has been made on the proposed merger with Estée Lauder Companies, but the talks announced March 23 remain live. The complication is bilateral. ELC's stock is down approximately 1% since the talks were announced. The company has cut 7,000 jobs and is executing restructuring while simultaneously attempting to structure a ~€5 billion financing package through JPMorgan. Puig, meanwhile, is navigating Middle East exposure that complicates its outlook.
Even combined, the merged entity would reach approximately $20.6 billion in sales — well short of L'Oréal's $51.6 billion post-Kering Beauté. L'Oréal reported €12.15 billion in Q1 2026 sales, up 7.6% like-for-like.
For founder-led clean brand operators, the relevant read is this: if the merger closes, the combined ELC–Puig entity has a meaningfully weaker balance sheet than pre-deal ELC, is managing two large restructurings simultaneously, and will be under pressure to prioritize integration over portfolio acquisition for at least 18 months. That means the M&A window for founder-led clean brands — which requires an acquirer with capital, management bandwidth, and a strategic appetite for small-brand development — is narrowing at ELC for the medium term.
L'Oréal BOLD and Unilever Ventures remain structurally open. ELC, less so. Founders modeling exit timing should price in the change.
